Contractual and regulatory law in the Oil & Gas industry

Petrolex has extensive experience in advising in connection with negotiating and drafting contracts within the petroleum industry on the Norwegian Continental Shelf. We provide a broad range of assistance in the preparation of tender documents in the petroleum industry, such as development agreements and drilling contracts.
Our legal advice is particularly related to petroleum legislation, licensing matters, HES legislation, labour legislation and environmental law. We assist companies with respect to all contact with Norwegian authorities in connection with applications and matters related to the Petroleum Taxation Act.
Company law
Our lawyers have extensive expertise in company law and offer advice regarding all stages of the life cycle of companies. We advice in matters related to the decision-making processes for financing and with mergers and demergers.
Our services cover establishment, liquidation and winding-up of public limited companies, private limited companies and other company structures such as general partnerships, limited partnerships and internal partnerships.
Petrolex’ advice covers issues related to the competence of company organs, including the Board’s duties and responsibilities, and we litigate directors’ and officers’ liability cases.
We offer guidance regarding share transfer issues and we assist with issues related to the relationship amongst the shareholders and between the shareholders and the company, shareholders’ agreements and the articles of association.
Tax law
Our tax specialist has long and comprehensive experience from the public and private sectors in Norway and is considered to be amongst the best with respect to taxation of the oil and gas industry.
We have extensive experience also in the field of international and domestic taxation applicable to all kinds of companies and individuals.
HSEQ
Our HSEQ unit provides HSEQ assistance in connection with preparations for licensee and operator activities on the Norwegian Continental Shelf, certification assistance, facilitating, self assessments and audits. This service includes management system development, herunder assesment of status, workshops, drafting descriptions and support documents, facilitating management review, regulatory awareness and workshops and the HSEQ section may assist during emergency preparedness.
Transactions and M&A
Petrolex provides advice on complex domestic and international transactions, especially with respect to assistance to foreign companies investing in Norway.
